How much rust till it's a parts car?

Where do you draw the line -- when does a car go from restorable to just a
parts car?
I've been approached by someone who is selling a '64 with rust in the cowl
and around the back window. The front floor pans, the hood and trunk are
also rusted. However, it is a numbers matching, all original car with a
426.
I know rust is expensive to repair, but is this car worth restoring?
